This indemnification includes reasonable attorney’s fees paid by MEDICAL JUSTICE to defend such claim(s).

INVALIDITY:

If any provision of this Agreement is declared illegal or unenforceable in any jurisdiction and cannot be modified to be enforceable, that provision will immediately become null and void, leaving the remainder of the Agreement in full force and effect.

GOVERNING LAW, CONSENT TO JURISDICTION, ARBITRATION, AND LIMITATION ON CLAIMS:

All unresolved disputes, controversies, or legal claims arising out of, relating to, or in connection with your use of this Site shall be submitted to binding arbitration no later than one (1) year following the occurrence giving rise to the claim. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association. Such arbitration shall take place in Greensboro, North Carolina and North Carolina law will govern all issues, without giving effect to its conflict of laws principles that would refer to and apply the substantive law of another jurisdiction. You hereby consent to such jurisdiction. The determination of the arbitrator(s) shall be conclusive and binding on the parties, and any determination by the arbitrator(s) of an award may be filed with the clerk of a court of competent jurisdiction as a final adjudication of the claim involved, or application may be made to such court for judicial acceptance of the award and an order of enforcement, as the case may be. The arbitrator(s) shall designate the party to bear the expenses of the arbitrator(s) or the respective amounts of such expense to be borne by each party. Before, during, or after arbitration each party shall have the right, without awaiting the outcome of the arbitration, to seek interim injunctive relief from an appropriate court including but not limited to temporary restraining orders or preliminary injunctions. Seeking any such remedies shall not be deemed a waiver of either party’s right to compel arbitration. YOU understand that any use of this Site contains an agreement to arbitrate. After adoption of this AGREEMENT, YOU understand that YOU will NOT be able to bring a lawsuit concerning any dispute that may arise which is covered by the arbitration agreement. Instead, YOU agree to submit any and all such dispute(s) to an impartial arbitrator or arbitrators as defined above.

ENTIRE AGREEMENT:

This Agreement represents the entire contract involving use this Site. Only an Executive Officer of MEDICAL JUSTICE can approve any change in this contract. Approved changes must be documented in writing and signed in ink. Email or other electronic statements will not be binding YOU acknowledge that in allowing access to and use of this site, MEDICAL JUSTICE has reasonably relied on your acceptance of this Agreement.

MODIFICATION:

MEDICAL JUSTICE reserves the right, at its sole discretion, and without notice to you, to change, alter, amend or otherwise modify this Agreement from time to time. If this Agreement is materially updated, the Site will display the updated version for you the next time you access the Site. YOU agree to be bound by such modifications, when you next access the Site, and these modifications will supersede all prior terms and conditions.

WAIVER:

MEDICAL JUSTICE’s failure to timely exercise or enforce any right or provision of this Agreement shall not be deemed to be a waiver of such right or provision.

NOTICE:

Formal notice will be deemed as duly given only if in writing and by certified US mail, return receipt requested, postage prepaid to: Medical Justice, PO Box 49669, Greensboro, NC 27419. Notice shall be deemed delivered and effective when actually received by MEDICAL JUSTICE.
